Item 7.01Regulation FD Disclosure.
On July 27, 2021, Shutterstock, Inc. (the “Company”) issued a press release announcing the formation of Shutterstock.AI and the acquisition of three artificial intelligence platforms, Pattern89 Inc., Datasine Limited and assets from Shotzr, Inc. The aggregate cash consideration was approximately $35 million, and is subject to customary working capital and other adjustments, paid from existing cash on hand. The full text of the press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.

Shutterstock.AI to offer computer vision and predictive performance solutions with the goal of enhancing creative performance

Additionally, the newly established Shutterstock.AI has acquired three leading AI platforms, Pattern89, Datasine, and Shotzr.
