(1) Pursuant to Rule 416(a) of the Securities Act of 1933, as amended, this registration statement on Form S-8 (this Registration Statement) shall also cover any additional shares of the Registrants common stock that become issuable under the 2012 Employee Stock Purchase Plan (the 2012 ESPP) by reason of any stock dividend, stock split, recapitalization or other similar transaction effected without receipt of consideration that increases the number of the Registrants outstanding shares of common stock.
(2) Represents shares of common stock reserved for future issuance under the 2012 ESPP.
(3) Estimated solely for purposes of calculating the registration fee pursuant to Rule 457(h) under the Securities Act of 1933, as amended, on the basis of $19.62, which represents 85% of $23.08, the average of the high and low sale prices per share of the Registrants common stock on October 17, 2012, as reported on the New York Stock Exchange. Pursuant to the 2012 ESPP, which plan is incorporated by reference herein, the purchase price of the shares of the Registrants common stock will generally be 85% of the lower of the fair market value of the common stock on the first trading day of the offering period or on the exercise date.
(4) On May 14, 2012, the Registrant filed a registration statement on Form S-1 (File No. 333-181376) and paid a registration fee in connection therewith in the amount of $13,179, of which $2,905 remains unused. Pursuant to Rule 457(p) under the Securities Act, the $2,905 in unused fees paid in connection with the above-referenced registration statement on Form S-1 is offset against the currently due registration fee of $5,353 in connection with this Registration Statement, and the remaining $2,448 is being paid herewith.

Section 145 of the Delaware General Corporation Law (Delaware Law) authorizes a corporations board of directors to grant, and authorizes a court to award, indemnity to officers, directors and other corporate agents.
The Registrants amended and restated certificate of incorporation, as currently in effect, contains provisions that limit the liability of its directors for monetary damages to the fullest extent permitted by Delaware Law.
Consequently, the Registrants directors will not be personally liable to the Registrant or its stockholders for monetary damages for any breach of fiduciary duties as directors, except liability for:
· any breach of the directors duty of loyalty to the Registrant or its stockholders;
· any act or omission not in good faith or that involves intentional misconduct or a knowing violation of law;
· unlawful payments of dividends or unlawful stock repurchases or redemptions as provided in Section 174 of Delaware Law; or
· any transaction from which the director derived an improper personal benefit.
The Registrants amended and restated certificate of incorporation and amended and restated bylaws, as currently in effect, provide that the Registrant is required to indemnify its directors and officers, in each case to the fullest extent permitted by Delaware Law. The Registrants amended and restated bylaws also provide that the Registrant is obligated to advance expenses incurred by a director or officer in advance of the final disposition of any action or proceeding, and permit the Registrant to secure insurance on behalf of any officer, director, employee or other agent for any liability arising out of his or her actions in that capacity regardless of whether the Registrant would otherwise be permitted to indemnify him or her under the provisions of Delaware Law.
The Registrant has entered and expects to continue to enter into agreements to indemnify its directors, executive officers and other employees as determined by its board of directors. With specified exceptions, these agreements provide for indemnification for related expenses including, among other things, attorneys fees, judgments, fines and settlement amounts incurred by any of these individuals in any action or proceeding.
The Registrant believes that these bylaw provisions and indemnification agreements are necessary to attract and retain qualified persons as directors and officers. The Registrant also maintains directors and officers liability insurance.
