Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 27, 2020, Shutterstock, Inc. announced that Lisa Nadler, the Company’s Chief Human Resources Officer, would depart the Company, with an effective departure date to be no later than March 27, 2020. Upon execution of a separation agreement containing a general release, as well as customary covenants and acknowledgments, Ms. Nadler will receive benefits that are substantially as set forth in her employment agreement, except that Ms. Nadler will not be eligible for a pro-rated bonus for fiscal 2020 and her separation agreement will provide for the accelerated vesting of restricted stock units scheduled to vest on April 1, 2021.
